Registration process (step by step)

Below is a detailed description of each stage of the company registration process. Please read each step carefully.

  1. Step 1

    Company Name Reservation

    We will verify the availability of the names you have proposed and reserve the first available name with the Trade Registry (Registrul Comerțului). The reservation is valid for a limited period.

  2. Step 2

    Power of Attorney at a Notary

    The client must personally visit a notary to execute a power of attorney (procură) for the company incorporation. The power of attorney must be notarized.

    For Bucharest: we can recommend a notary and a certified translator. This cost is not included in the company opening fee.

  3. Step 3

    Registered Office Lease (Sediu Social)

    A registered office address is required for company registration. You may rent a physical office or use a virtual office service.

    For Bucharest: we can recommend a company that provides virtual office services. This cost is not included in the company opening fee.

  4. Step 4

    Document Preparation, Signing & Translation

    We will prepare all the necessary incorporation documents (articles of association, bylaws, etc.). The documents must be signed and translated into Romanian by a certified translator.

  5. Important — signature requirements

    All documents must be signed BY HAND (holographic signature). Electronic signatures and Adobe signatures are NOT ACCEPTED. Only original handwritten signatures on paper documents are valid.

  6. Step 5

    Document Submission & Application Signing

    After all documents have been prepared and translated, we will submit them to the Trade Registry. Following the submission, an additional application (cerere) will need to be signed. This application must also be signed by hand.

  7. Step 6

    Accounting Services

    After the company is registered, you must enter into an agreement with an accounting firm that will handle your company's bookkeeping. This is a mandatory requirement under Romanian law.

    We can recommend a trusted accounting firm to handle your company's bookkeeping. This cost is not included in the company opening fee.

  8. Step 7

    Bank Account Opening & Share Capital Deposit

    The final step is opening a bank account in the company's name and depositing the share capital (capital social). After this, your company will be fully operational.
